Terms of service

Last updated October 25, 2026

These terms are an agreement between you and upCaret LLC, doing business as Cently ("Cently," "we," "us"), a company registered in Nebraska at 4918 N 180th Ave, Elkhorn, NE 68022. They cover your use of the Cently website at https://cently.ai, the Cently apps for iOS and Android, and anything else that links to these terms (together, the "Services"). You can reach us at support@cently.ai.

Agreeing to these terms

By using the Services, you agree to these terms and to our Privacy Policy, which explains how we handle your information. If you don't agree, don't use Cently. You must be at least 18 years old.

We may update these terms. When we do, we'll change the "Last updated" date at the top of this page, and we'll tell you in the app or by email if the change is significant. If you keep using Cently after an update, you accept the new terms.

What Cently is, and what it isn't

Cently is a personal budgeting tool. It helps you see where your money goes by organizing your transactions, receipts, and budgets, and it includes an AI assistant and alerts.

Cently doesn't give financial, investment, tax, or legal advice. Everything the Services show or say, including the assistant's answers, insights, budget suggestions, alerts, and in-store check-ins, is general information based on the data we have. It can be incomplete, out of date, or wrong. You're responsible for your own money decisions. For advice about your situation, talk to a qualified professional.

Your account

Give us accurate information when you sign up, and keep it up to date. Keep your sign-in details private, and tell us right away if you think someone else is using your account. You're responsible for what happens under your account. If information you gave us is false, we can suspend or end your account.

Bank connections

Cently connects to your bank and card accounts through Plaid. When you link an account, you authorize Plaid to access your account and transaction data and share it with us so we can provide the Services. Plaid's handling of your information is covered by its end user privacy policy. We don't control your bank or Plaid, and we aren't responsible for data they supply late, incorrectly, or not at all.

AI features and in-store check-ins

Cently's assistant, insights, and receipt reading run on an AI model from Anthropic. When you use them, your chat messages and the data needed to respond are sent to our AI provider, as described in the Privacy Policy. AI output can be wrong or misleading, so check anything important before you rely on it.

In-store check-ins are optional and use your device's location in the background, as described in the Privacy Policy. They're informational, and they don't replace your own judgment about what to buy.

Subscriptions and payment

Cently is a paid subscription. How you're billed depends on where you subscribe.

On the web, Stripe processes payments, and you authorize us to charge your payment method. In the iOS or Android app, Apple or Google handles billing under its own terms, and your purchase is charged to your App Store or Google Play account. Apple and Google also handle cancellations and refunds for those purchases. If you have a problem with a purchase, you can always email support@cently.ai and we'll help where we can.

Your subscription renews automatically at the end of each billing period until you cancel. New users may get a free trial, and we won't charge you until it ends. If you start a trial through the App Store or Google Play, that store's trial terms also apply.

You can cancel any time. On the web, cancel in the Subscription section of Settings. In the apps, cancel in your App Store or Google Play subscription settings. Cancellation takes effect at the end of the current paid period, and you keep access until then. Deleting your Cently account doesn't cancel a subscription, so cancel first.

We may change prices or plans, and we'll let you know before a price change affects you, as the law requires. Prices are in US dollars, plus sales tax where required.

Our content and your content

The Services, including the software, design, text, and logos, belong to us or our licensors and are protected by copyright, trademark, and other laws. We give you a limited, personal, non-exclusive, non-transferable license to use the Services for your own personal budgeting while these terms are in effect. We keep every right we haven't expressly given you.

You keep ownership of what you put into Cently: your transactions, receipts, notes, and chats. You give us a license to host, process, and display that content only as needed to run the Services for you, including sending it to the providers described in the Privacy Policy. If you send us feedback or ideas, we can use them without owing you anything.

Acceptable use

Don't use Cently to do any of the following:

  • Break the law, or help someone else do it.
  • Access another person's account or financial data, or connect accounts you aren't allowed to use.
  • Scrape, copy, or resell the Services or their data, or use bots or scripts to access them.
  • Reverse engineer the software, or bypass or interfere with our security or access controls.
  • Upload malware, send spam or abusive content, or overload or disrupt the Services.

Ending your use of Cently

You can stop using Cently any time, and you can delete your account in Settings on the web or in the app. Our delete account page has the steps. Sections of these terms that by their nature should continue, such as ownership, disclaimers, limits on liability, indemnification, and governing law, continue after you leave.

We can suspend or end your access, or delete your account, at any time if we reasonably believe you've broken these terms or the law, or put the Services or other people at risk. If we end your account, you can't create a new one under your own name, someone else's name, or a false name.

Changes and interruptions

We may change, add, or remove features of the Services, or discontinue them, at any time. We don't guarantee that Cently will always be available. Maintenance, outages, and problems with our providers or your bank connection can interrupt it. We aren't liable for losses from downtime, changes, or discontinuation.

Disclaimers

The Services are provided "as is" and "as available." You use them at your own risk. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise that the Services or any information in them, including AI output, bank and transaction data, categories, budgets, and check-ins, will be accurate, complete, or uninterrupted, or that the Services will be free of errors or harmful code. We aren't responsible for any third-party service you reach through Cently, including your bank, Plaid, and app stores.

Limitation of liability

To the fullest extent the law allows, neither we nor our directors, employees, or agents will be liable to you or anyone else for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of the Services, even if we've been told the damages are possible. This includes any decision you make about your money based on something Cently showed or said.

Some places don't allow these exclusions, so some of them may not apply to you.

Indemnification

You agree to defend, indemnify, and hold us harmless, along with our affiliates, officers, agents, partners, and employees, from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by a third party because of your use of the Services, your content, your breach of these terms, or your violation of someone else's rights, including intellectual property rights. We can take over the defense of any claim at your expense, and you'll cooperate with us.

Governing law and disputes

Nebraska law governs these terms. You and upCaret LLC agree that the courts of Nebraska have exclusive jurisdiction over any dispute about these terms or the Services. We may also bring a claim in the courts where you live.

Electronic communications

You agree to receive notices, policies, and records from us electronically, by email or on the Services, and that electronic notices satisfy any legal requirement that they be in writing. You also agree to the use of electronic signatures, contracts, and records.

California users

If a complaint with us isn't resolved to your satisfaction, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by phone at (800) 952-5210 or (916) 445-1254.

General terms

These terms, the Privacy Policy, and any policies we post on the Services are the whole agreement between you and us. If we don't enforce a provision, we haven't waived it. If a court finds a provision unenforceable, the rest stays in effect. We may transfer our rights and obligations under these terms, and you may not without our written consent. We aren't responsible for delays or failures caused by events outside our reasonable control. These terms don't create a partnership, joint venture, employment, or agency relationship between you and us.
